Precision Contract Drafting & Review

A well-drafted contract is the foundation of every successful business relationship. At SMR Legal, we bring meticulous attention to language, structure, and enforceability. Every clause is drafted with your commercial objectives in mind — protecting your interests while maintaining the flexibility needed for productive business partnerships.

Commercial & Business Contracts

We draft and negotiate the full range of commercial agreements: supply contracts, distribution arrangements, service agreements, consultancy engagements, and outsourcing arrangements. Our contracts are structured to clearly define scope, deliverables, payment terms, liability allocation, and termination rights.

Partnership & LLP Deeds

Partnership deeds and LLP agreements require careful drafting to address capital contributions, profit sharing, management responsibilities, admission and retirement of partners, dispute resolution, and dissolution procedures. We draft these foundational documents to prevent future disputes and protect all parties' interests.

Non-Disclosure & Confidentiality Agreements

Whether you are entering preliminary discussions with a potential partner, hiring a consultant, or sharing proprietary information with a vendor, we draft NDAs that provide meaningful protection. Our agreements clearly define confidential information, permitted use, duration, remedies for breach, and carve-outs for residual knowledge.

Licensing & Franchise Agreements

We structure licensing arrangements for intellectual property, technology, and brand usage, as well as comprehensive franchise agreements that address territory rights, quality standards, fees, training obligations, and termination procedures. Our agreements balance the licensor's control with the licensee's operational needs.

Contract Review & Risk Assessment

Before you sign, we review. Our contract review service identifies unfavourable terms, ambiguous language, missing protections, and potential liability exposure. We provide a clear risk assessment with recommended amendments, and can negotiate directly with the counterparty on your behalf.

Frequently Asked Questions

How long does it take to draft a commercial contract?

A standard commercial contract typically takes 3-5 working days for the first draft, depending on complexity. Simple agreements like NDAs or service contracts may be ready within 1-2 days. Negotiation and revision cycles with the counterparty can add additional time, but we work efficiently to close agreements quickly.

Do you review contracts drafted by the other party?

Yes, contract review is one of our most frequently requested services. We review the counterparty's draft, identify risks and unfavourable terms, provide a marked-up version with recommended changes, and can negotiate amendments directly with their legal team on your behalf.

What makes a contract legally enforceable in India?

Under the Indian Contract Act, 1872, a valid contract requires: free consent of parties competent to contract, a lawful object, lawful consideration, and the agreement must not be expressly declared void. Certain contracts (like property transfers) must also be in writing and registered. We ensure all these elements are properly addressed.

Can you help with international contracts?

Yes. We draft and review cross-border contracts addressing governing law, jurisdiction, dispute resolution (including international arbitration), force majeure, currency and payment terms, export controls, and compliance with applicable laws in both jurisdictions.

What is included in your contract review service?

Our review includes: a summary of key terms, risk assessment highlighting unfavourable clauses, recommended amendments with alternative language, a comparison against market-standard terms, and a written legal opinion. For complex agreements, we also provide a risk matrix categorising issues by severity.
